a strong management team equity ownership from management a product or service that fills a real need proprietary technology opportunity for global expansion dominant market position

stable operating margins significant free cash flow at least a three-year operating history annual earnings before interest and taxes in excess of $1 million well-constructed balance sheets exit strategy by IPO or acquisition
